1. Acceptance of Terms

By accessing or using Boomship ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Lank Hospitality Private Limited ("Boomship," "we," "our," or "us").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

Important: If you do not agree to these Terms, you must not access or use the Service. Your continued use constitutes acceptance.

2. Definitions

Service

The Boomship platform, including our website, web application, API, and all related services

User

Any individual or entity that accesses or uses the Service

Account

Your registered account on the Service

Content

Any data, text, files, or materials you upload, create, or process through the Service

AI Agent

Automated software agents powered by artificial intelligence that perform tasks on your behalf

Subscription

Your paid access plan to the Service, including all features and usage limits

Integration

Third-party services connected to your Boomship account

3. Our Services

Boomship is a workspace in which an AI agent changes software on your instruction: it reads the repository and files you give it, makes the change in a sandboxed runner, tests the result, and records what it did and what it checked. The model inference behind it runs on model provider accounts and keys that you bring, or on keys we manage where a deployment offers them.

Build runs

An agent edits, runs commands and tests in a sandbox on your instruction

Verification and receipts

An independent check of each run, with a Work Receipt that says what passed, failed or did not run

Project Brain

An index of the repositories, files, notes and connected sources you give a project

Automate

Chained and scheduled runs, and signed webhook triggers

Boomship Verify

Verification of a GitHub pull request in the sandbox

Support

Documentation and email support

Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice (minimum 30 days) for material changes affecting paid features.

4. User Accounts

Account Registration

You must be at least 18 years old to create an account
You must provide accurate, complete, and current registration information
You may not create accounts for others without their permission
Business accounts require authorization to bind the organization

Account Security

You are responsible for maintaining the security of your account credentials
Notify us immediately of any unauthorized access at security@boomship.ai
You are responsible for all activities that occur under your account

5. Subscriptions & Billing

Subscription Plans

We offer one paid plan, Boomship Core, billed monthly. Its price and what it includes are stated on our pricing page.

Boomship Core is billed monthly in advance
Model inference is billed by your own model provider on your keys; it is not part of the plan
Nothing in the workspace is gated by seat, agent or call count
Enterprise terms are not offered in this release

Payment Terms

Billing Cycle

Subscriptions are billed in advance at the start of each monthly billing period

Merchant of record

Payments are processed by Dodo Payments, which sells the subscription as merchant of record, collects applicable taxes and issues invoices and refunds

Currency

Prices are in USD; Dodo may show a localised amount at checkout

Taxes

The price shown is the price charged; applicable taxes are included in it

Failed Payments

Dodo retries a failed payment and we notify you before the subscription is suspended

Refunds & Cancellation

Cancel anytime: You can cancel your subscription at any time through account settings
Access until period end: Cancelled subscriptions remain active until the end of the billing period
Refunds: A monthly charge is not refunded once the period has started, except for a billing error on our side or where the law requires it; write to support@boomship.ai within 14 days of the charge

Price Changes

We may change our prices with at least 30 days' notice. Price changes will apply to subsequent billing periods, not the current one. You may cancel if you don't agree to the new pricing.

6. Acceptable Use Policy

You agree to use the Service responsibly and in compliance with all applicable laws. The following activities are strictly prohibited:

Harmful Content

Spam or unsolicited messages
Malware or viruses
Harassment or threats

Platform Abuse

Unauthorized access attempts
Circumventing security measures
Excessive load or DoS attacks

Rights Violations

Copyright infringement
Trademark violations
Privacy breaches

Enforcement: Violations may result in immediate account suspension or termination without refund. We may report illegal activities to law enforcement.

7. AI Service Terms

Understanding AI Outputs

Consider disclosing AI involvement when required by law or ethical standards

Data Quality

Ensure data provided to AI agents is accurate and you have rights to use it

Prohibited Uses

Do not use AI for generating illegal, harmful, or deceptive content

Model Updates

We continuously improve our AI models. Updates may affect output quality and behavior. We will notify you of significant changes that may impact your workflows.

8. Your Content

Ownership

You retain full ownership of all Content you upload, create, or process through the Service. We do not claim any ownership rights to your Content.

License Grant

By using the Service, you grant us a limited, non-exclusive license to:

Store, process, and transmit your Content to provide the Service
Create backups for disaster recovery purposes
Analyze aggregated, anonymized usage data for service improvement
Display your Content to authorized users in your organization

Your Responsibilities

You have all necessary rights and permissions to use the Content
Your Content does not violate any laws or third-party rights
You will not upload malicious code, viruses, or harmful files
You maintain appropriate backups of important Content

9. Intellectual Property

Our Intellectual Property

The Service, including all software, algorithms, designs, documentation, and trademarks, is owned by Boomship and protected by intellectual property laws.

"Boomship," our logo, and product names are trademarks of Lank Hospitality Private Limited. You may not use our trademarks without written permission.

Restrictions

Do not copy, modify, or create derivative works of the Service
Do not reverse engineer, decompile, or disassemble any part of the Service
Do not sublicense, sell, or transfer access to the Service
Do not remove or alter any proprietary notices or labels

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use that feedback without restriction or compensation.

10. Confidentiality

Both parties agree to protect confidential information disclosed during the relationship. Confidential information includes business strategies, customer data, technical information, and any information marked as confidential.

11. Warranties & Disclaimers

Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) the Service will meet your specific requirements; (c) AI outputs will be accurate or suitable for any particular purpose; (d) defects will be corrected.

12. Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOMSHIP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Exclusion of Damages

IN NO EVENT SHALL BOOMSHIP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain liability limitations. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Boomship, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

Your use of the Service or violation of these Terms
Your Content or data you process through the Service
Your violation of any third-party rights
Your violation of any applicable laws or regulations
Actions taken by AI agents under your control

14. Termination

Termination by You

Cancel anytime via account settings
Request account deletion via email
Export your data before cancellation
Access continues until period end

Termination by Us

For Terms violations (immediate)
For non-payment (after notice)
For legal requirements
For extended inactivity (with notice)

Effects of Termination

Your right to access the Service ends immediately
We will delete your data within 30 days (unless legally required to retain)
You may request a data export within 7 days of termination notice
Provisions that should survive termination will remain in effect
You remain liable for any outstanding fees

15. Governing Law & Disputes

Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Pune, Maharashtra, India.

Either party may elect binding arbitration under Indian Arbitration and Conciliation Act.

3. Court Proceedings

If arbitration is not elected, disputes go to the courts of Pune, Maharashtra.

Additional Provisions

Class Action Waiver: You agree to resolve disputes individually, not as part of a class action
Time Limitation: Claims must be brought within one year of the cause of action
Injunctive Relief: Either party may seek injunctive relief for IP or confidentiality violations

16. Changes to Terms

We may update these Terms from time to time. When we make changes:

We will update the "Effective Date" at the top
For material changes, we will provide 30 days' notice via email
We will post the updated Terms on our website
Your continued use after changes constitutes acceptance

If you disagree with updated Terms, you may cancel your subscription before the changes take effect. We encourage you to review these Terms periodically.
